The activities of the Consumer Cooperative are regulated by the Civil Code of the Russian Federation (Civil Code of the Russian Federation) and the Law of the Russian Federation of June 19, 1992.
No. 3085-1 “On consumer cooperation (consumer societies, their unions) in the Russian Federation.” Previously, there was such a popular OPF among the people as a consumer society. A consumer society is a voluntary association of citizens and (or) legal entities, created, as a rule, on a territorial basis on the basis of membership through the pooling of property shares by its members for trading, procurement, production and other activities in order to satisfy the material and other needs of its members.

But after extensive September amendments to the Civil Code of the Russian Federation, this OPF was excluded. They have all now become consumer cooperatives. And such a form as the Consumer Society is no longer in the Civil Code, so the tax office no longer registers them and issues refusals. All existing software companies will have to change their full name to “Consumer Cooperative” upon first contacting the tax authority upon adoption of the new edition of the charter. But the legal status and tax benefits remained. And consumer societies have now survived only as mutual insurance societies.

A consumer cooperative is a membership-based voluntary association of citizens or citizens and legal entities in order to satisfy their material and other needs, carried out through the pooling of property shares by its members. A mutual insurance society may be based on the membership of legal entities.

The highest governing body is the general meeting of members (shareholders) of the Consumer Cooperative.

The Council of the Consumer Cooperative is the governing body of the Consumer Cooperative, represents the interests of the shareholders of the Consumer Cooperative, protects their rights and is accountable to its general meeting. The Council of the Consumer Cooperative exercises the powers determined by the Law and the Charter of the Consumer Cooperative, with the exception of the powers assigned to the exclusive competence of the general meeting of the Consumer Cooperative.

The chairman and members of the board of the consumer cooperative are elected for a period of five years from among those who have not violated the rights of shareholders and the Law of shareholders of the consumer cooperative. The chairman of the board of a consumer society, without a power of attorney, acts on behalf of the consumer cooperative, including representing its interests, issues orders and gives instructions that are binding on all employees of the consumer cooperative. Members of the consumer cooperative council exercise their powers on a voluntary basis.

The board of a consumer cooperative is the executive body of a consumer cooperative, created in each consumer cooperative to manage the economic activities of the consumer cooperative, appointed by the council of the consumer cooperative and accountable to the council of the consumer cooperative.

Advantages and disadvantages

The advantages of the Consumer Cooperative compared to many OPF NPOs include the fact that with proper conduct of business and accounting, you can legally not pay almost any taxes. This is what helps this form of doing business survive under any government.

The disadvantages include the fact that various fees will need to be paid. And if you don’t pay them, you may be excluded from being a shareholder. Also, to create, a large number of founders are needed and all of them need to be taken to a notary, only if they personally do not all simultaneously submit and receive papers to MIFNS No. 46 in Moscow.

Why are PDAs created?

The direct historical analogue of the CCP is mutual aid funds. These are associations that are created to accumulate funds into a common fund. The activities of the cooperative members will be financed from it in the future. Money is lent at interest for specific purposes.

For example, in the agricultural CCP, farmers receive money for sowing and return it after selling the crop. If it is difficult to decide on the wording, you can seek advice from, which provides legal support and paperwork for the cooperative.

Only members of the cooperative can receive a loan from the CCP. Interest rates are comparable to bank rates or slightly higher, but the loan application process is much simpler. Money invested in the cooperative generates income, which is limited by the regulator at 1.8 of the Central Bank rate. Cooperatives are allowed to raise funds from outside companies, but not from individuals. The consumer society makes it easier to obtain financing for business, construction, and agriculture.

Stages of registration of a consumer cooperative

Step 1. Determine the name of the consumer cooperative being created (full, abbreviated, also in a foreign language if necessary). This is the most important question – because. the name must reflect the purposes for which the Cooperative is created.

Step 2. Next, the list of founders of the registered Consumer Cooperative is determined (all passport data, TIN of the individual, postal code according to registration are required). They can be both individuals and legal entities. There are no restrictions for foreign citizens.

Step 3. The applicant is determined when registering the Consumer Cooperative (the applicants are all the founders of the registered non-profit organization). Everyone needs to go to the notary.

Step 4. The taxation system of the Consumer Cooperative is determined (General; Simplified: Income - 6%; Simplified: Income reduced by the amount of expenses - 15%)

Step 5. From the All-Russian Classifier of Types of Economic Activities (OKVED), the List of Types of Economic Activities being created by the Consumer Cooperative is selected in accordance with the client’s wishes and entered into the appropriate application and form.

Step 6. It is necessary to determine the address of the location of the executive body of the NPO (legal address of the NPO). The address can be provided by the client himself, or it can be ordered from our company. The concept of state registration

According to Russian legislation, all legal entities must be registered. A legal entity is an organization whose activities may be aimed at generating profit and dividing it between participants or achieving a specific goal. In other words, an organization can be commercial or non-profit. Non-profit organizations most often include various charitable, educational, cultural foundations, as well as cooperatives.

State registration of legal entities should be understood as entering data on the creation of an organization into the state register.

In addition, the register also contains information about the reorganization and liquidation of a legal entity, and other information required by law. There is a certain registration procedure, which is the same for all business entities.

It follows that only the state has such powers, therefore the activities of private registration bodies are prohibited. After completing the procedure, the legal entity becomes a subject of law. He has a certain legal capacity, that is, rights and obligations in relation to activities to achieve the goal outlined in the constituent documents.

State registration performs a number of the following functions:

  • state control over the economic activities of the entity;
  • implementation of taxation;
  • maintaining statistical records;
  • providing information about legal entities to various government bodies.

As for the purposes of state registration of citizens' associations, they are the provision and protection of the rights, freedoms and interests of both citizens and the state in the economic sphere. Registration authorities are called upon to ensure that legal entities whose activities are contrary to the law are not allowed into civil circulation. In addition, they are obliged to prevent monopolization of the market.

Currently, state registration has an application form, that is, it provides for limited government intervention in corporate relations.

The creation of a legal entity does not require permission from the authorities, and the state fulfills its role only by checking the documents provided for the procedure.

There is another form of state registration - notification. To do this, the founders of a legal entity only need to notify the relevant authorities about the creation of the organization, and there is no need for personal presence. But this form of registration is not used in Russia, since in practice it does not allow control over the process of creation or liquidation of legal entities, and also contradicts the principles of market relations.
